GENERALPROVISIONS
CHAPTER1GENERALPROVISIONS
Article1ThisLawisformulatedwithaviewtoprotectingthelawfulrightsandinterestsofthepartiestocontracts,maintainingthesocialeconomicorderandpromotingtheprogressofthe
socialistmodernizationdrive.
Article2AcontractinthisLawreferstoanagreementestablishing,modifyingandterminatingthecivilrightsandobligationsbetweensubjectsofequalfooting,that
is,betweennaturalpersons,legalpersonsorotherorganizations.
Agreementsinvolvingpersonalstatusrelationshipsuchasonmatrimony,adoption,guardianship,etc.shallapplytheprovisionsofotherLaws.

Article3Thepartiestoacontractshallhaveequallegalstatus.Nopartymayimposeitswillontheotherparty.

Article4Thepartiesshallhavetherightstobevoluntarytoenterintoacontractin
accordancewiththelaw.Nounitorindividualmayillegallyinterfere.
Article5Thepartiesshallabidebytheprincipleoffairnessindefiningtherightsandobligationsofeachparty.

Article6Thepartiesmustactinaccordancewiththeprincipleofgoodfaith,nomatterinexercisingrightsorinperformingobligations.

Article7Inconcludingandperformingacontract,thepartiesshallabidebythelawsandadministrativeregulations,observesocialethics.
Neitherpartymaydisruptthesocio-economicorderordamagethepublic
interests.Article8Assoonasacontractisestablishedinaccordancewiththelaw,itshallbelegallybindingontheparties.Thepartiesshallperformtheirrespectiveobligationsinaccordancewiththetermsofthecontract.Neitherpartymayunilaterallymodifyorrescindthecontract.
Thecontractestablishedaccordingtolawshallbeundertheprotection
oflaw.
CHAPTER2CONCLUSIONOFCONTRACTSArticle9Inconcludingacontract,thepartiesshallhaveappropriate

civilcapacityofrightandcivilcapacityofconduct.
Thepartiesmayconcludeacontractthroughanagentinaccordancewith
thelaw.Article10Thepartiesmayconcludeacontractinwritten,oralorother
forms.Wherethelawsoradministrativeregulationsrequireacontracttobeconcludedinwrittenform,thecontractshallbeinwrittenform.Ifthepartiesagreetodoso,thecontractshallbeconcludedinwrittenform.
Article11Thewrittenformsmeantheformswhichcanshowthedescribedcontentsvisibly,suchasawrittencontractualagreement,letters,anddata-telex(includingtelegram,telex,fax,EDIande-mails.
Article12Thecontentsofacontractshallbeagreeduponbytheparties,andshallcontainthefollowingclausesingeneral:
(1titleornameanddomicileoftheparties;
(2contractobject;
(3quantity;(4quality;(5priceorremuneration;
(6timelimit,placeandmethodofperformance;
(7liabilityforbreachofcontract;and
(8methodstosettledisputes.
Thepartiesmayconcludeacontractbyreferencetothemodeltextofeachkindofcontract.
Article13Thepartiesshallconcludeacontractintheformofanoffer
andacceptance.Article14Anofferisaproposalhopingtoenterintoacontractwith
otherparties.Theproposalshallcomplywiththefollowingstipulations:
